SSI Advanced Terms and Conditions

1. Nature of the Service

The SSI-A provides comprehensive consulting and implementation services through which GB Advisors will provide its capabilities and expertise in the areas of ITSM Solution technology, Artificial Intelligence, ITOM, Helpdesk, and process management, among others, to execute the Prioritized Objectives List (Product Backlog), through task-based development cycles.

2. Limitation

The provision of the SSI-A is limited to the Effort Units (EU) or Hour Units (HU) acquired and/or by the duration of the contracted time, whichever occurs first.

3. Guidelines

- GB Advisors and The Client shall jointly establish on a monthly or bi-weekly basis (without limitation to the modification of this period), the Prioritized Objectives List (Product Backlog) desired to be achieved during each agile cycle (Sprint).

- Based on this list, GB Advisors will execute tasks of assistance, support, accompaniment, consulting, configurations, migrations, development, documentation, and scripts.

- GB Advisors will set macro limits to guarantee the sustainability and the effective and efficient achievement of the Epics (set of objectives) set by The Client.

- GB Advisors will designate 1 Technical Leader and 1 Project Manager for the provision of this Service. Additionally, according to its discretion and specialized criteria, GB Advisors may add additional human teams for the execution of the Service.

- GB Advisors will employ the Agile Scrum methodology to execute the activities listed below (enunciatively):

o Co-creation of the Product Backlog.
o Advisory and creation of an Action Plan specifically designed to achieve Objectives and Goals.
o Monitoring, measurement, and evaluation of the progress of the developed tasks.
o Knowledge transfer and coaching on the use of the Platform to the teams designated by The Client.
o Facilitation of materials, digital resources, and instructional tools regarding the use of the Platform.
o Identification and documentation of improvement opportunities for the optimization of the functionalities available for the Platform.

- The provision of the SSI-A will be executed through GB Advisors' remote infrastructure.

4. Notice

Without limiting the attention, dedication, and efficiency of GB Advisors in the provision of the SSI-A, taking into consideration that the Platform is the exclusive design, creation, and manufacture of its manufacturer, who is its exclusive owner and administrator, GB Advisors shall not be responsible for the occurrence of any event that totally or partially alters the correct functioning of the Platform and that is considered inherent and connected to it (according to the criteria objectively accepted by the ITSM, ITOM, Helpdesk, and process management solutions industry). Malfunction is considered any affectation to a characteristic inherent to the Tool that causes total or partial inoperability according to its documentation.

5. Supplementary Provisions

- For the purposes of quantifying the professional intervention of GB Advisors, the use of the term Effort Units (EU) is established as the measure conceived to represent the combined dedication of the GB Advisors team, which includes, as applicable, project management activities (PM), technical execution, and quality assurance (QA).

- The Hour Unit (HU) represents one hour of work executed by each member of the team, whatever the activity performed within the SSI-A.

- Both parties undertake to maintain the confidentiality of the information exchanged during the provision of the service.

6. Duration and Termination of the SSI-A

The SSI-A shall have the duration reflected in the Quotation issued by GB Advisors linked to this acquisition; within this period, the Effort Units or Hour Units acquired and paid for by The Client shall be executed. During the term of the Service, The Client may add additional EU or HU under the same contract, provided that such acquisitions are made before the end of the originally agreed period. If, at the end of the last month of service, the Client has pending Effort Units for consumption, it will have an additional period of thirty (30) calendar days immediately following the expiration of the initial period to use them. The SSI-A can be extended in time and/or in Units (Effort; Hours) provided it occurs before the termination of the contract. In the event of such an extension, GB Advisors reserve the right to review and modify, in whole or in part, the terms and conditions of the SSI-A.

7. Contractual Enforceability

If, according to the Client's internal procedures, the issuance of a Purchase Order (PO) or equivalent document is necessary to formalize the commitments acquired herein, this Service shall only be enforceable and executable upon receipt of the issuance of said Purchase Order. Likewise, if after the expiration of the term of this Proposal the Client has not issued the respective Purchase Order (or equivalent document), the prices and discounts offered shall become null and void, resulting in being unenforceable and inapplicable.

Additionally, if the acquisition of the SSI-A is tied to the purchase of Licenses, and The Client must issue a Purchase Order or its similar, this Service will only be executable and enforceable after the issuance of said Order. If, within the following five (5) business days, GB Advisors has not received the Payment and/or the corresponding Order, GB Advisors shall not be under the legal obligation to guarantee the activation of the Licensing and/or the Consulting Service regulated herein. After receipt of the Order and/or Payment, GB Advisors will have no less than five (5) additional days to manage the activation of the Licensing and/or agreed services. Without these periods affecting in any way the subscription period of the Licensing.

8. Acceptance of Terms and Conditions

With the payment of the service made by the client after the issuance of the corresponding invoice, the client recognizes, accepts, and adheres entirely to these General Conditions of the SSI-A Service.
