1. Nature of the Service
Booster Hours and Booster Week are time-based software consulting services offered by GB Advisors, provided in blocks of two (2), ten (10), or forty (40) hours. These blocks of hours may be combined according to the criteria of the GB Advisors specialist, who will determine the number of hours required based on the Client´s needs.
2. Objective of the Service
The service is designed to provide fast and specific solutions, such as:
- Platform health checks.
- Configuration of improvements.
- Data migration.
- Simple and medium programming on the platform.
- Initial configuration of functionalities.
- Small and simple implementations.
- Quick start of certain functionalities.
Booster Hours and Booster Week are designed for Clients who need immediate support to start or enhance their use of the platform without engaging in a formal project with extensive deliverables, or, who require specific attention for a particular objective. It may be applied to small initiatives, provided these do not require a formal project methodology or defined deliverables.
3. Scope and Limitations
GB Advisors will determine, at its specialized criteria and judgment, the number of personnel assigned to the execution of the service for the resolution of the Client’s request.
According to the specialized criteria of GB Advisors, none of these services are intended for:
- Development of APIs on the platforms.
- Extension of native software functionalities or features that breach the platforms' terms of use.
4. Conditions of Use
- The scope of the service will be defined based on the Client's needs and priorities, in accordance with the block of hours purchased.
- GB Advisors reserve the right to establish the applicable methodology.
- The blocks of hours acquired (2, 10, or 40 hours) must be used within ninety (90) calendar days following their purchase. Upon the expiration of this period, if the total purchased hours have not been consumed, the contracted Service (Booster Hours and Booster Week) shall be deemed executed, and GB Advisors’ obligations shall be extinguished by the passage of time.
- Therefore, the provision of the service will conclude automatically upon fulfillment of either of the two scenarios. These scenarios are sole and sufficient parameters to consider the service fully executed without requiring any further act of closing or acceptance.
- The provision of service is subject to the schedule of 8:00 a.m. to 5:00 p.m. (Puerto Rico Time), Monday through Friday.
5. Supplementary Provisions
- Contracted hour blocks are personal and non-transferable; they may not be accumulated or assigned to third parties.
- Any cancellation or rescheduling of sessions must be notified at least 24 hours in advance. Otherwise, the reserved hours may be considered consumed.
- Both parties agree to maintain the confidentiality of the information exchanged during the service.
- The service will be provided remotely.
- The Client acknowledges that Booster Hours and Booster Week is limited to resolving specific requests and does not substitute for large-scale implementation projects or custom developments.
6. Client Duties
The success of the service depends on the active collaboration of the Client and the availability of information and resources. For this purpose, the Client shall:
- Provide personnel with priority attention to Booster Hours and Booster Week activities.
- Designate a representative with decisive authority to make immediate decisions regarding the tasks to be addressed.
- Deliver the necessary information in a timely manner to enable GB Advisors to execute the service.
7. Payment Terms and Conditions
- Payment Conditions: Prepaid.
- Form of Payment: Bank transfer.
8. Contractual Enforceability
If, pursuant to Client's internal procedures, the issuance of a Purchase Order (PO) or equivalent document is required formalizing the commitments undertaking herein, this Service shall only be enforceable and executable upon receipt of such Purchase Order. Furthermore, if, upon the expiration of the validity period of this Proposal, the Client has not issued the corresponding Purchase Order (or equivalent document), the offered prices and discounts shall become unenforceable and inapplicable.
9. Acceptance of Terms and Conditions
By making the payment for the service following the issuance of the corresponding invoice, the Client acknowledges, accepts, and fully adheres to these General Conditions of the Booster Hours and Booster Week Software Consulting Service.
